- Service refers to the coaching services offered by the Company, including but not limited to one-on-one coaching sessions, as well as the use of the Website.
- Terms and Conditions (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
- Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

- You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Placing Orders for Coaching Services
By placing an order for Coaching Services through the Website, You warrant that You are legally capable of entering into binding contracts.
Structure of Coaching Services
Client understands that coaching services with Mimi Donaldson include a defined number of hours of one-on-one coaching sessions, conducted via Zoom and supported by collaborative tools such as Google Docs. In addition to live coaching time, Mimi will dedicate a defined number of hours toward personalized research, editing, and the development of messaging or “sound bites” tailored to the client’s goals.
The coaching engagement is structured over a defined period of time. Specific session dates will be mutually agreed upon prior to the commencement of services. A deposit is due prior to the first session, with subsequent payments aligned with session milestones.
Your Information
If You wish to book coaching services through the Website, You may be asked to provide certain information relevant to Your booking, including, without limitation: Your name, Your email, Your phone number, Your billing address, and payment details.
You represent and warrant that:
(i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any booking; and
(ii) The information You supply is true, correct, and complete.
By submitting this information, You authorize Us to share it with third-party payment processors for the purpose of completing Your booking.
Booking Cancellation
We reserve the right to refuse or cancel any Coaching Service booking at our sole discretion, including but not limited to:
- Unavailability of scheduling
- Errors in service description or pricing
- Suspected fraud or unauthorized activity
Your Cancellation Rights
Cancellations or rescheduling of Coaching Services are subject to our Cancellation Policy, which is incorporated into these Terms.
Services that have been delivered or partially rendered are non-refundable unless otherwise required by law.
Certain bookings may not be eligible for cancellation, including but not limited to:
- Services scheduled within a non-refundable window
- Services where performance has already begun with Your consent
Refunds, if applicable, will be processed within 14 days of cancellation approval using the original form of payment.
Pause Clause
Once the timeline has been agreed upon by the Company and You, both parties agree to maintain the schedule as closely as possible.
Any adjustments to project deadlines or milestones caused by You do not affect payment milestones. All payments will be required at the time(s) initially described in the proposal.
A Project Pause Fee may be applied in the event that You stop communicating with Company for more than 10 business days or You delay over 30 days. The Pause fee schedule is 5% (up to $500) of your project cost. If You foresee the need to pause your project, please contact us as soon as possible in advance to avoid the additional charge.
Availability, Errors and Inaccuracies
We continually update the availability and descriptions of our Coaching Services. Services may be incorrectly priced, inaccurately described, or temporarily unavailable. We reserve the right to update this information and to correct any errors at any time without prior notice.
Pricing Policy
Prices for Coaching Services are subject to change prior to booking confirmation. Once confirmed, pricing will remain fixed unless impacted by circumstances beyond our control (e.g., regulatory changes, payment processor fees). In such cases, You may have the right to cancel.
Payments
All Coaching Services require payment in advance unless otherwise agreed upon in writing. Payment may be made via accepted credit cards or designated third-party platforms (e.g., PayPal).
Payment authorization is required before services are rendered. If authorization fails, we reserve the right to cancel the booking.
Links to Other Websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Termination
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, Your right to use the Service will cease immediately.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy shall be limited to the amount actually paid by You through the Service..
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, or consequential damages arising out of the use of the Service.
Disclaimer
The coaching services are provided on a professional best-effort basis, drawing on the experience, training, and expertise of the coach. The Company makes no guarantees or representations as to the specific outcomes or results from coaching sessions, as success is highly dependent on the individual’s participation and commitment.
To the maximum extent permitted by applicable law, the Company disclaims all implied warranties of results or suitability for a specific purpose. While every effort is made to provide valuable guidance, the coaching services are not a substitute for licensed counseling, legal, medical, or financial advice.
Governing Law
The laws of the State of California, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.
Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.
For European Union (EU) Users
If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Translation Interpretation
These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Website and the Service.
